Terms and Conditions
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING. BY PARTICIPATING, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
1. Definitions
“Challenge” means the webAI x HackAI hackathon challenge described herein.
“Participant” means any individual who registers and participates in the Challenge.
“webAI Open-Source Model” means YOLO-MLX, made available by webAI under the GNU Affero General Public License Version 3 (“AGPL v3”) at https://github.com/thewebAI/yolo-mlx.
“Submission” means any project, code, model, application, or other deliverable submitted by a Participant in connection with the Challenge.
“webAI” means webAI, Inc., a Delaware corporation.
2. Eligibility
The Challenge is open to individuals who meet ALL of the following criteria:

Are at least 18 years of age at the time of registration;

Are legally residing in the United States;
-
Are legally authorized to participate in the jurisdiction from which they are entering;

Are not employees, contractors, officers, directors, or agents of webAI, Inc., or any of its affiliates, nor immediate family members (spouse, parent, child, sibling, and their respective spouses) or members of the same household of any such person;

Are not subject to any legal or contractual restriction that would prevent participation or ownership of any prize; and
-
Agree to be bound by these Terms and Conditions in their entirety.
webAI reserves the right to verify eligibility at any time and to disqualify any Participant who does not meet or who misrepresents compliance with these requirements. No purchase necessary to enter or win.
3. Registration
To participate, you must sign up at community.webai.com during the registration period. Each individual may register only one account. Creating multiple accounts to circumvent submission limits or other rules will result in immediate disqualification.
Teams
Participants may enter the Challenge individually or as a team of up to three (3) members. Each team member Participant must register an account and must independently satisfy all eligibility requirements set forth in Section 2. Team members may not participate on more than one team, nor may a team member simultaneously participate as a solo entrant. One team member must be designated as the team lead and will submit one Submission on behalf of the team member Participants.
4. The Challenge
Participants will build a demo using the webAI Open-Source Model under one of four tracks: Useful, Enterprise, Austin-flavored or Wild. Full challenge details, evaluation criteria, and technical specifications are available at [CHALLENGE DETAILS URL]. Submissions must be received by the stated deadline. Each Participant is limited to one Submission.
Participants must incorporate and utilize the webAI Open-Source Model in their Submissions. Participants are solely responsible for ensuring their use of the models complies with the applicable license terms. Each Submission must be the original work of the Participant, except for the webAI Open-Source Model and other properly licensed third-party components, and must not infringe any third-party intellectual property rights.
5. Prizes
A winner will be selected for each of the four tracks. Each of the four (4) track winners will receive:

Cash Prize: $1,000 USD, subject to provision of valid tax information (e.g. a W-9) before prizes are distributed. Prizes are subject to applicable federal, state, local, and foreign income taxes and withholding. Winners are solely responsible for all taxes on prizes received.

Featured Promotion: A promotional feature by webAI, Inc. across webAI’s channels, which may include: (1) a highlight post on the webAI Blog; (2) a thread on webAI’s official X (formerly Twitter) account; (3) a post on webAI’s official LinkedIn page; and (4) amplification across webAI’s other community or social channels.
If a team wins, the cash prize will be paid in a single payment to the team lead. webAI assumes no responsibility for any dispute among team members regarding the division or distribution of any prize. Each team member is individually responsible for their own tax obligations with respect to any prize amount they receive.
Every Participant who submits an eligible Submission will have the opportunity to be included in a recap post on the webAI Blog and amplification across webAI’s other community or social channels.
6. Intellectual Property
6.1 Ownership. Each Participant retains ownership of their Submission and the intellectual property they create. Each Participant’s use of the webAI Open-Source Model and any other third-party components remains subject to the applicable upstream licenses (including AGPL v3), and each Participant is responsible for complying with those licenses.
6.2 License to webAI. By submitting a Submission, each Participant grants webAI a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, display, and distribute their Submission to: (a) operate, judge, and publicize the Challenge; (b) conduct internal research and product development; and (c) promote webAI and the Challenge. To the extent any portion of a Submission is a “covered work” under AGPL v3 or another copyleft license, webAI’s rights in that portion are limited to those granted by the applicable upstream license, and nothing in these Terms and Conditions requires any Participant to grant webAI rights inconsistent with AGPL v3. Each Participant represents that they have the right to grant the license in this Section 6.2 with respect to any non-copyleft portions of their Submission.
6.3 Name, Likeness, and Moral Rights. Each Participant grants webAI the right to use their name, likeness, and biographical information to promote the Challenge and the Participant’s participation in it. To the extent permitted by applicable law, each Participant waives any moral rights in their Submission as against webAI and parties acting on webAI’s behalf; where waiver is not permitted, each Participant agrees not to assert those rights in a manner that would prevent the uses licensed above.
6.4 webAI’s IP. Nothing in these Terms and Conditions grants any Participant a license to webAI’s technology, trademarks, or other intellectual property, except that Participants may factually reference their participation in the Challenge (e.g., “Winner, webAI x HackAI 2026”).
6.5 AGPL v3 Reminder. The webAI Open-Source Model is licensed under AGPL v3. Submissions that incorporate or build on it may be “covered works” subject to AGPL v3’s source-availability and network-use requirements. Each Participant is responsible for understanding and complying with those obligations.
7. Representations and Warranties
By participating, each Participant represents and warrants that:

They are at least 18 years of age;

All information provided during registration is accurate and complete;

Their Submission is their original work and does not infringe any third-party patent, copyright, trademark, trade secret, or other intellectual property rights;

Their Submission complies with the webAI Open-Source license terms and AGPL v3;
-
Their Submission does not contain any malicious code, malware, viruses, or unauthorized data collection mechanisms;
-
Their participation and use of any prize does not violate any applicable law or any contractual obligation to a third party, including any current employer’s intellectual property or confidentiality policies, and that the Participant has full right and authority to grant the licenses described herein; and
-
They have read, understand, and agree to be bound by these Terms and Conditions in their entirety.
Participants who incorporate third-party open-source components (other than the webAI Open-Source Model) into their Submissions must ensure that such use is compliant with the applicable open-source licenses and must disclose such components in their Submission documentation.
8. Conduct and Disqualification
Participants agree to compete fairly, in good faith, and in compliance with all applicable laws. Prohibited conduct includes, but is not limited to: reverse engineering, probing, or attempting to access any non-public data set, scoring infrastructure, or webAI internal system; submitting Submissions that contain malware, malicious code, or any component designed to harm, exfiltrate data from, or attack any system or infrastructure; engaging in harassment, discrimination, or abusive conduct toward other Participants, webAI employees or judges; engaging in any activity that violates applicable computer-misuse, anti-fraud, or export-control laws; and any conduct that webAI, in its sole discretion, determines to be dishonest or harmful to the integrity of the Challenge or its Participants.
Violations may result in immediate disqualification and/or forfeiture of any prize.
9. Privacy and Data
By participating, Participants consent to webAI’s collection, use, and processing of their personal information for the purposes of administering the Challenge, verifying eligibility, awarding prizes, and publicizing results, in accordance with webAI’s Privacy Policy available at https://www.webai.com/privacy.
10. Limitation of Liability
THE CHALLENGE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEBAI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) A PARTICIPANT’S ACCESS TO OR PARTICIPATION IN OR INABILITY TO ACCESS OR PARTICIPATE IN THE CHALLENGE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE CHALLENGE; AND (III) ANY CONTENT OBTAINED FROM THE CHALLENGE. WEBAI’S TOTAL AGGREGATE LIABILITY TO ANY PARTICIPANT SHALL NOT EXCEED THE AMOUNT OF ANY PRIZE ACTUALLY AWARDED TO THAT SPECIFIC PARTICIPANT. THE FOREGOING LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WEBAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
11. Indemnification
Each Participant agrees to indemnify, defend, and hold harmless webAI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) the Participant’s participation in the Challenge; (b) the Participant’s Submission; (c) any breach of these Terms and Conditions; or (d) any infringement of third-party rights by the Participant’s Submission, including third-party intellectual property rights.
12. Governing Law
These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Travis County, Texas. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. Changes to Terms
webAI reserves the right to update these Terms and Conditions at any time. Material changes will be communicated at community.webai.com. Continued participation after changes constitutes acceptance of the updated terms.
webAI reserves the right to modify, suspend, or cancel the Challenge at any time and for any reason.
